PROKON Project Consultancy Company had 15 years of experience in corporate governance services within DENGE Group. In the year 2001, PROKON was organized as a separate company in order to give better services and direct involvement to clients' satisfaction.

A. Corporate Services

 

The services that we provide could be summarized as follows:

·   Giving consultancy services regarding the type of firm that should be established such as limited, joint stock, branch office, etc. and its consequences by taking into consideration future prospects on tax planning situation

·   Preparing all sorts of agreements to be signed between shareholders

·   Advising the company regarding the documentation, ensuring that all necessary documents are prepared correctly and sent to different parties on time and following up rest of the legal procedures

·   Getting the work and residence permits for expatriates

·   Getting incentives

·   Consulting and following the procedures in all kind of operations such as capital increase, share transfer transactions, general assembly, mergers, liquidation, changing the type of the company and split-offs; according to the Turkish Commercial Law and Turkish Tax Law

·   Support services related to Turkish Commercial Law practices and preparation of commercial agreements

·   Prokon works for individuals and corporations regarding the reciprocal rights and obligations of employees and employers and gives advisory and support services on various topics related to Labor Law such as preparation and discussion of contracts, termination of contracts, occupational accidents and illnesses, and enforcement of regulations and laws regarding health and safety in the workplace

·   Consulting about renting, purchasing, selling the real-estates and creating mortgages.

 

B. Mergers & Acquisitions

 

Recognition of the importance of the globalization emerged our customers the need for these services. Both foreign and Turkish firms approach us to look for partners, form joint ventures, import and/or export technology and know-how, and find companies interested in acquisition.

The technology, know-how and financial strength of foreign firms attract the Turkish companies. On the other hand, the availability of a new market, cheap labor force, existing experience of the Turkish market attract the foreign firms to apply us for our above-mentioned services.

 

The services provided by us to client could be any of the below:

·   To check the local and foreign markets for potential counterpart companies according to client's need and to prepare sector reports,

·   To check the market and find out the companies operating in similar sector, to reach those companies and inform them on the project, JV etc. that we are working on,

·   To arrange meetings with interested companies,

·   To accompany our clients to their potential JV partner providing all kind of consultancy services including Turkish Commercial Law applications and tax consultancy

·   To assist our clients in negotiations and in the stage of the preparation of the agreements such as know how, distribution, shareholders agreements etc.

·   To set-up of the joint company

The main concern that we take into account is the suitability of the merging companies in respect of their structures, sizes and their mentalities.

 

 

C. Human Resources (Recruitment Services)

 

Human Resources services include job analysis, personnel recruitment and preparation of employment contract both for national and multi-national companies from various sectors in Turkey with a developing and updated database pool of prospective recruits.

 

First step in recruitment services is to identify client's needs and qualifications for the position. A search is carried out in order to know client's operation area, organization and culture. We gather information regarding to position's place in the organization, responsibilities and salaries. In addition, information about the requested qualifications such as education, skills, abilities, personality and experience for the position are identified.

 

Screening studies are done either through media channels or by using our own records. Applications are evaluated carefully and candidates with the appropriate profile are invited for interview. Candidates are evaluated by using different interview techniques. Suitable candidates are taken to short list and the chosen candidates are presented to the employer's consideration.

 

Meetings are arranged between candidates and the client and afterwards opinions of both sides are taken.

 

Applicants are informed regarding to results of their applications.

 

For finalist candidates reference check is done and client is informed regarding to results. When a candidate is placed to a position, recruitment procedure is completed. We also provide supportive services such as salary negotiations and preparation of employment contract upon client's request

 

We follow the adaptation of the new employee to the company culture and the satisfaction of the employee and the employer.
